1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, booking systems, equipment, and related offerings provided by Northwave Podcast Studio (“Northwave Podcast Studio,” “we,” “us,” or “our”), located at 214 King Street West, Toronto, ON M5H 1K5, Canada.

By booking, accessing, or using any service offered by Northwave Podcast Studio, you agree to be bound by these Terms and all applicable laws and regulations of Canada and the Province of Ontario. If you do not agree to these Terms, you must not use our services.

These Terms apply to all clients, guests, talent, producers, contractors, and any other persons who enter our premises, use our equipment, or otherwise participate in a session or service arranged through Northwave Podcast Studio.

2. Scope of Services

Northwave Podcast Studio provides podcast and audio-visual production services, which may include, without limitation:

  • Podcast recording sessions;
  • Audio editing and cleanup;
  • Video podcast production;
  • Live streaming support;
  • Remote guest interview setup;
  • Voiceover recording;
  • Studio rental with technical assistance.

Service availability, specifications, deliverables, and timelines may vary depending on the booking, package selected, staffing, equipment availability, and technical requirements. We reserve the right to modify, suspend, or discontinue any service at any time, subject to any applicable booking commitments already accepted by us.

Unless expressly agreed in writing, all services are provided on a best-efforts basis and do not include guarantees regarding audience reach, distribution performance, monetization, platform approval, or third-party technical compatibility.

3. User Obligations and Responsibilities

By using our services, you agree to:

  • Provide accurate, current, and complete information when booking or communicating with us;
  • Arrive on time for all sessions and ensure that all participants are prepared;
  • Comply with all studio rules, safety instructions, and staff directions;
  • Use equipment and facilities carefully and only as instructed;
  • Not bring illegal substances, weapons, hazardous materials, or prohibited items onto the premises;
  • Not engage in unlawful, defamatory, harassing, discriminatory, obscene, or infringing conduct during any session;
  • Obtain all necessary permissions, releases, licenses, and consents for any content recorded, produced, or published through our services;
  • Ensure that any music, images, footage, scripts, trademarks, or other materials you provide do not infringe the rights of any third party;
  • Back up your own materials and content, as we are not responsible for loss of client-owned files except where required by law.

You are responsible for the conduct of your guests, collaborators, contractors, and any other persons attending or participating in your session. You will be liable for any damage, loss, or additional costs caused by you or your invitees.

We may refuse service, remove any person from the premises, or terminate a session without refund if we reasonably determine that conduct is unsafe, disruptive, unlawful, or inconsistent with these Terms.

4. Payment Terms and Conditions

Fees for services will be communicated at the time of booking, in a quote, invoice, service agreement, or published rate card. All prices are stated in Canadian dollars unless otherwise indicated.

  • A deposit or full prepayment may be required to confirm a booking;
  • All invoices are payable by the due date stated on the invoice;
  • Late payments may result in suspension of services, cancellation of bookings, and/or interest or administrative charges to the extent permitted by law;
  • Any taxes, including applicable GST/HST, will be added where required by law;
  • Additional charges may apply for overtime, extra revisions, special equipment, rush delivery, storage, or other services not included in the original booking;
  • We may require a credit card authorization or security deposit for certain bookings or equipment use.

Unless otherwise agreed in writing, all fees are non-transferable and must be paid in full before final deliverables are released. We reserve the right to withhold files, recordings, or edited materials until all outstanding amounts have been paid.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in accordance with the booking terms provided at the time of reservation. If no specific booking policy applies, the following default policy will govern:

  • Cancellations made more than 72 hours before the scheduled session may be eligible for a partial refund, less any non-refundable deposit or administrative fees;
  • Cancellations made within 72 hours of the scheduled session may be non-refundable;
  • No-shows, late arrivals, or cancellations made after the scheduled start time are non-refundable;
  • Rescheduling is subject to availability and may incur a fee;
  • Refunds, if approved, will be issued to the original payment method within a reasonable time.

If a session is cancelled by Northwave Podcast Studio due to equipment failure, staff unavailability, safety concerns, or other operational reasons, we may, at our discretion, offer a rescheduled session, credit, or refund of the affected portion of the fees.

For editing, post-production, or custom work, any work already completed is non-refundable. Approved refunds do not include third-party fees, payment processing charges, or costs already incurred on your behalf, unless required by law.

6. Liability Limitations

To the fullest extent permitted by applicable law, Northwave Podcast Studio, its owners, directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or loss of opportunity arising out of or related to your use of our services.

Our total aggregate liability for any claim arising from or relating to the services shall not exceed the amount paid by you to Northwave Podcast Studio for the specific service giving rise to the claim, except where such limitation is prohibited by law.

We are not responsible for:

  • Technical failures caused by internet service providers, third-party platforms, software, or hardware not controlled by us;
  • Loss or corruption of files due to client equipment, improper handling, or third-party systems;
  • Content accuracy, legality, or compliance of materials supplied by clients or guests;
  • Delays caused by client lateness, incomplete materials, or failure to follow instructions;
  • Any claims arising from unauthorized use of copyrighted, trademarked, or otherwise protected content provided by you.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for gross negligence, wilful misconduct, or any other liability that cannot lawfully be limited.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property owned or licensed by Northwave Podcast Studio, including studio branding, templates, workflows, methods, software configurations, and proprietary materials, remains our property or the property of our licensors.

Subject to full payment of all applicable fees, and unless otherwise stated in a written agreement, you will own the final deliverables created specifically for you, excluding any underlying tools, stock assets, third-party materials, or pre-existing content owned by us or third parties.

You represent and warrant that you have all necessary rights to any content, music, logos, images, scripts, recordings, or other materials you provide to us. You grant Northwave Podcast Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, process, store, and modify such materials solely to perform the services.

We may retain copies of project files, recordings, and deliverables for backup, quality assurance, legal compliance, and operational purposes, subject to our internal retention practices and applicable law.

8. Data Protection and Privacy

Northwave Podcast Studio collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Ontario law.

We may collect personal information such as names, contact details, billing information, booking details, session recordings, and communications for the purposes of providing services, processing payments, managing bookings, improving operations, and complying with legal obligations.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

By using our services, you acknowledge that recordings may contain personal information or likenesses of participants. You are responsible for obtaining any necessary consents from guests, speakers, and other individuals appearing in or contributing to recorded content.

9. Force Majeure

Northwave Podcast Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, internet outages, labour disputes, government actions, public health emergencies, war, terrorism, civil unrest, equipment shortages, or failures of third-party service providers.

In the event of force majeure, we may suspend, reschedule, or cancel affected services without liability, except for any refund or credit obligations expressly required by law or agreed in writing.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be posted or otherwise made available with a revised effective date.

Your continued use of the services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of Northwave Podcast Studio shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services, subject to any mandatory consumer protection laws that may apply.
